REPLYfairy Terms of Service
REPLYfairy is a trading name of iQspeaks Limited (Company Number: 09932765), registered at 51 St Barnabas Road, Woodford Green, IG8 7BY, United Kingdom (“we”, “us”, “our”).
1. The service
REPLYfairy provides an AI-assisted service that monitors your Google Business Profile, drafts replies to customer reviews, and — based on settings you control — posts those replies automatically or after your explicit approval.
2. Your account and access
You’ll grant REPLYfairy manager-level access to your Google Business Profile. You’re responsible for the accuracy of the business information and brand voice guidance you provide.
3. Approval settings and your responsibility
You control your auto-approve threshold and can change it at any time. For any review that requires your explicit approval, REPLYfairy will not post a reply until you approve it.
Reply drafts are generated using AI and, like any AI output, may occasionally be inaccurate, tonally off, or otherwise not reflect what you would have written yourself. This is precisely why approval settings exist, and we encourage you to review draft replies — particularly when first configuring your brand voice — before relying on auto-approval for a given rating threshold.
4. Liability for reply content
4.1 Manually approved replies. Where you have configured a review to require your explicit approval, and you approve a reply before it is posted, you are responsible for the content of that reply once posted. REPLYfairy is not liable for the consequences of content you have reviewed and approved.
4.2 Auto-posted replies. Where you have enabled auto-approval for a given rating threshold, you accept that replies within that threshold will be posted without your prior review. You remain responsible for setting an auto-approval threshold and brand voice configuration appropriate to your business, and for monitoring posted replies on an ongoing basis. REPLYfairy will use reasonable skill and care in the design and operation of the AI drafting process, but does not guarantee that auto-posted content will always be accurate, appropriate, or error-free.
4.3 Correction and takedown. If an auto-posted reply is inaccurate, inappropriate, or otherwise problematic, notify us as soon as reasonably possible. We will help you remove or edit the reply where the Google Business Profile platform permits this, and will investigate whether the issue arose from a fault in our service.
4.4 Risk flagging is not a guarantee. Our Priority and Multi-Location tiers include industry-tuned risk flagging, which surfaces reviews that may warrant closer attention (for example, those raising safety, legal, or safeguarding concerns) and routes them for your explicit edit-before-approve review rather than auto-posting. This flagging is a best-efforts feature and is not guaranteed to catch every sensitive review. Regardless of tier, you remain responsible for the auto-approval thresholds you set, and should not enable auto-approval broadly for business contexts where an unreviewed automated response could be inappropriate.
5. Fees and payment
5.1 Subscription fees. Access to REPLYfairy is provided on a subscription basis, at the following rates:

Current tier details and features are set out on our pricing page at the time you sign up. There is no setup fee.
5.2 Billing cycle. Fees are billed monthly in advance, starting from the date your account is activated.
5.3 Payment method. Fees are collected via direct debit / card payment/ bank transfer . You authorise us to charge your chosen payment method automatically at the start of each billing cycle.
5.4 Price changes. We may change our fees from time to time. We’ll give you at least 30 days’ notice of any price increase by email, and the new price will take effect from your next billing cycle. If you don’t agree to the change, you may cancel in line with Section 6 before it takes effect.
5.5 Failed or late payment. If a payment fails, we’ll attempt to notify you and may retry the charge. If payment remains outstanding after 7 days, we may suspend your access to REPLYfairy until the account is brought up to date, in line with Section 7.
5.6 Taxes. Fees are stated exclusive of VAT. We are not VAT registered yet but when we do, VAT will be applied to your invoice at the prevailing rate.
5.7 Refunds. Fees are non-refundable except where required by law, or at our discretion in exceptional circumstances. There is no setup fee to refund, and you may cancel at any time under Section 6 to stop future charges.
5.8 Multi-Location accounts. Where you subscribe under the Multi-Location tier, fees are calculated per active location and billed together under a single invoice. Adding or removing a location during a billing cycle will be effective from the next billing cycle.
6. Cancellation
You may cancel at any time; cancellation takes effect at the end of your current billing period.
7. Suspension and termination
We may suspend or terminate your access to REPLYfairy, with notice where reasonably practicable, if: you fail to pay fees when due; you breach these terms and don’t remedy the breach within a reasonable period of being notified; or we reasonably believe your use of the service poses a security, legal, or reputational risk to us or to Google’s platform terms.
On termination, your right to use the service ends immediately, though your rights regarding retained data continue as set out in our Privacy Policy.
8. Service availability
REPLYfairy depends on the availability of Google’s Business Profile API and our AI provider’s services; we can’t guarantee uninterrupted availability of either.
9. Intellectual property
We retain all intellectual property rights in the REPLYfairy platform, software, and underlying technology. You retain ownership of your business data, review content, and brand voice configuration you provide to us. You grant us a licence to use this information solely to provide the service to you.
10. Confidentiality
Each party agrees to keep confidential any non-public business, technical, or commercial information disclosed by the other party in connection with the service, and not to use it other than for the purposes of this agreement.
11. Limitation of liability
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under English law.
Subject to the above, our total liability to you arising out of or in connection with these terms, whether in contract, tort, or otherwise, is limited to the fees paid by you in the 12 months preceding the claim. We are not liable for any indirect or consequential loss, including loss of profits, loss of business, or loss of reputation.
12. Changes to these terms
We’ll notify active clients of material changes by email before they take effect.
13. Governing law and jurisdiction
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
14. General
Entire agreement. These terms, together with our Privacy Policy, constitute the entire agreement between you and REPLYfairy regarding the service, and supersede any prior agreements or understandings.
Severability. If any provision of these terms is found unenforceable, the remaining provisions continue in full force.
Assignment. You may not assign or transfer your rights under these terms without our consent. We may assign these terms in connection with a merger, acquisition, or sale of assets.
